1. Introduction

Welcome to Compunix Webshop ("we," "us," or "our"). By accessing or using our website and purchasing software from our webshop, you (“customer”) agree to comply with and be bound by these Terms and Conditions ("Terms"). Hereafter jointly referred to as “Parties”. Please read these Terms carefully before making any purchase.

2. Scope of Agreement

These Terms apply to all sales and deliveries of software products ("Products") made through our website, https://www.compunix.com (the "Website"). By placing an order on our Website, you confirm that you have read, understood, and agree to these Terms.

3. Account Registration

3.1 Eligibility
You must be at least 18 years old to purchase Products from our Website. By purchasing, you represent and warrant that you meet these requirements.

3.2 Account Information
You agree to provide accurate, current, and complete information during the purchasing process and to update such information to keep it accurate, current, and complete.

4. Orders and Payment

4.1 Order Acceptance
All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.

4.2 Payment Terms
Prices for Products are listed on the Website and are subject to change without notice. Payment must be made at the time of purchase. We accept various payment methods as indicated on the Website.

4.3 Taxes
You are responsible for paying any applicable taxes, including sales, use, value-added, or other similar taxes.

5. Delivery and Access

5.1 Delivery
Upon successful payment, you will receive access to download the purchased software and license key.

5.2 License Grant
Upon purchase, you are granted a non-exclusive, non-transferable license to use the software in accordance with the specific license terms provided with each Product. You do not acquire ownership of the software. For the data recovery software, license is limited to three months.

6. Usage and Restrictions

6.1 Permitted Use
You may use the software solely for your personal or internal business purposes.

6.2 Prohibited Activities
You may not:
a. Copy, distribute, or modify the software, except as expressly permitted.
b. Reverse engineer, decompile, or disassemble the software.
c. Use the software for unlawful purposes.

7. Refunds and Returns

7.1 Refund Policy
Due to the nature of digital products, all sales are final. We do not offer refunds, exchanges, or returns unless otherwise stated in a specific product's terms.

7.2 Exception
If the software is found to be defective or not as described, we may, at our discretion, provide a replacement or refund.

7.3 Cancellation
Order cancellation is only possible before delivery of software and license.

In case of credit card payment, order can be canceled up till moment of credit card payment successful processed because once successful processed, software is available and license key generated.

In case of wire-transfer, order can be canceled up till the moment prior the software and license key are send out.

8. Intellectual Property

All intellectual property rights in the software and related materials are owned by us or our licensors. No ownership rights are transferred to you by these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Products.

10. Exclusion article 6.3 §2 (new) Burgerlijk Wetboek

By means of this article, the Parties decide to exclude the application of article 6.3 §2 (new) Burgerlijk Wetboek:

10.1. Consequently, the Parties will never hold each other’s auxiliary persons directly liable in the broad sense for any legal acts or acts in fact that they may have performed in the execution of their assignment for the Service Provider. Auxiliary persons are understood to mean (but not exhaustively): employees, directors or any other appointee.

10.2. To the extent necessary, the Parties waive any legal action in this regard.

10.3. The Parties will also indemnify each other against any claim or action brought by any auxiliary person against the other party or its auxiliary persons.

10.4. The Parties will fully respect the existing statutory and contractual liability limitations and will also impose these limitations in their respective contractual relationships with third parties. To the extent necessary, the Parties mutually agree that in any case the co-contractor's assistants may invoke the same defenses as provided for in the Agreement and this supplement.

11. Indemnification

You agree to indemnify and hold harmless Compunix, its affiliates, and their respective directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the software or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Website and the Products at any time, without prior notice or liability, for any reason, including your breach of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kontich/Belgium. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kontich/Belgium.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website and the Products will constitute your acceptance of the revised Terms.

15. Duration

The provisions of these terms shall remain in force for the entire duration of the Agreement and shall remain in full force after its termination.
